General terms and conditions for the purchase of Luxtrade mobile devices.

Definitions:

Luxtrade: Luxtrade II sp. z o. o. (formerly: Luxtrade sp. z o. o. sp. k.) headquartered in Pszczyna (Poland, Silesian Voivodeship, Pszczyna Municipality) at 13 Rybnicka Street.

Seller: the natural person selling the device.

Device: a cell phone, laptop, tablet, or watch offered for sale to Luxtrade (or several such items sold at the same time).

Grade: the criterion described in Section 4 describing the condition of the device, which Luxtrade has assigned to its visual, technical, and usable condition.

1. The seller declares that:

A. is a private seller (natural person) based in the EU and is of the legally required age to dispose of the device;

B. has full legal capacity (in particular, it is understood under national law;

C. is the owner of the equipment to be sold, has full right to sell it, and the thing is not encumbered by the rights of third parties, in particular, is not subject to any pledge, registered pledge, or is not subject to bankruptcy or enforcement proceedings with respect to the thing;

D. the data on his bank information is consistent with the facts. The seller is solely responsible for errors regarding his declared banking information.

E. declares that Luxtrade may, without additional approvals, examine the sold device for missing parts or damage. The seller acknowledges that this may involve the fact that the covers of the device have been physically opened. Luxtrade is not responsible for the legal consequences associated with this - in particular, those arising from the loss of rights under the warranty, or similar laws.

2. Delivery of the device to the indicated location:

A. Before shipping the device, the Seller shall clean the device's memory, restore it to factory settings and remove any locks.

B. Luxtrade shall provide a label with which Seller can ship the item to the location indicated in the contract. Luxtrade shall only be liable for the consequences resulting from the fact that a defective label content was generated.

C. Seller shall be solely responsible for delivering the device to the point designated by Luxtrade. In particular, Luxtrade is not responsible for the consequences of the courier company resulting from damage, or loss, which delivers the shipment to the point indicated in the contract.

D. It is the Seller's responsibility to send the shipment with the declared contents. Luxtrade is not responsible for shipped accessories, in particular cables, boxes, headphones or cases. The Seller acknowledges that these accessories are permanently destroyed if sent, in particular, no additional payment for them.

3. Procedure for inspection, valuation and final sale of the device:

1. The seller sends the device to the address indicated by Luxtrade according to the rules outlined above.

2. Luxtrade shall visually inspect the exterior and interior of the device, examine its condition and determine the exact value of the device within 2 working days after receiving the shipment with the declared contents.

3. The sales order is valid for 15 calendar days from the moment of its submission. After the indicated period it ceases to be valid. At the indicated time, the Seller makes a final decision on the sale of the device.

4. Luxtrade shall make payment to the indicated bank account within 24 hours from the acceptance of the sales order by the Seller.

5. As soon as the payment is made, the ownership of the device is transferred from the seller to Luxtrade. It is possible to cancel the transaction at any time before the sale of the device.

6. In the event of final disagreement with the sale of the device, Luxtrade will send it back after the Seller has paid the shipping costs.

4. Criteria for estimating the value of the device:

1. Luxtrade will pay the price indicated according to the agreed terms if it is in the condition specified by the Seller. If the device is in better condition, or has higher parameters than specified, the Seller may receive an additional payment, and similarly, if the condition or parameters are worse than specified, the payment may be less. The final decision on the sale is made by the Seller, after electronic consultation, or by telephone (electronically confirmed) with Luxtrade.

2. Criteria for evaluating the condition of the device ///AO///:

If the Product is operational:

• Turns on, turns off and charges

• The screen works, is not discolored or marked, and no stains appear

• The screen, battery cover and back cover are not disconnected

• The touch screen works well without any technical problems

• Has battery (not inflated), cover and SIM card drawer

• Touch ID/Face ID works

• Has not been damaged by liquid

• Wi-Fi, bluetooth and network work

• Microphone, cameras and speakers work

If the product does not work:

• Does not turn on

• Cannot make or receive a call

• The touch screen does not work (in whole or in part)

• The screen has one or more dead pixels

• Missing items (battery, case, SIM card hatch, etc.)

• At least one component does not work: Wi-Fi, keys, keypads, microphone, etc.

Screen/housing:

• Very good/a: A few faint signs of wear, not visible from 8 inches away. No cracks or dents

• Good/a: Visible signs of wear and tear, including deep scratches and/or dents on the exterior of the device that do not affect its functionality. No cracks.

• Damaged/: Item has one or more cracks on the screen and/or back of the item that do not affect its functionality.

5. Additional contractual stipulations:

1. In the absence of the Seller's instructions as to the return of the device, which he has not agreed to sell, or failure to pay the shipment and at the same time lack of instructions as to the further fate of the device, it shall be deemed abandoned, its ownership shall pass to Luxtrade after 60 days without the right to additional compensation.

2. Once Luxtrade has made payment, the Seller forfeits the right to claim the device back.

3. The place of performance of the contract is the place of Luxtrade's headquarters. The applicable law in the process of sale of the device is Polish law.

4. The competent court for any disputes arising from the process of sale of the device is the court with jurisdiction over the main seat of Luxtrade. Before taking the matter to court, the parties will attempt to resolve the dispute amicably. Luxtrade may propose an out-of-court method of dispute resolution (arbitration, mediation).
